1. Acceptance
By accessing or using the website https://operaly.lat and the products or services offered by Operaly, you accept these terms. If you do not agree, please do not use the Site or the services.
2. Services offered
Operaly offers proprietary SaaS products (Operaly Park, Food, Fit) under monthly or annual subscription, and custom software contracted per project, regulated by a signed proposal defining scope, deadlines, deliverables and price.
3. Acceptable use of the Site
Site content (text, graphics, code, brand) is owned by Operaly or licensed for its use. It is prohibited to reproduce content for commercial purposes without written authorization, attempt to access non-public areas, or use the Site to send unlawful content.
4. Intellectual property
The Operaly brand, logos and source code of the Site are the exclusive property of Operaly. In custom projects, ownership of delivered code is governed by the specific contract — by default, the client receives ownership at the closing and full payment of the contracted phase.
5. Availability
We make reasonable efforts to keep the Site and products available, but we do not guarantee uninterrupted availability. Maintenance windows and product-specific SLAs are agreed in each contract.
6. Limitation of liability
To the maximum extent permitted by applicable law, Operaly is not liable for indirect damages, loss of profits or loss of data derived from use of the Site or products, except for proven willful misconduct or gross negligence.
7. Third-party links
The Site may include links to third-party products or services. Operaly is not responsible for the content, practices or policies of such external sites.
8. Modifications
We may update these terms to reflect legal, technical or commercial changes. The current version is always the one published at this URL.
9. Applicable law
These terms are governed by the laws of the Republic of Peru. Any controversy is submitted to the competent courts of Lima, unless otherwise agreed in specific contracts.
